Wyoming is one of the least expensive states to keep an LLC in. Filing costs $100, most LLCs pay $60 a year to stay active, and Wyoming has no state income tax. It’s also one of the fastest: an online filing becomes active as soon as you finish it. Here’s how the process works, and what to know before choosing Wyoming if you live somewhere else.

Should you form in Wyoming if you live elsewhere?
Wyoming’s low fees and lack of income tax draw a lot of out-of-state owners. Keep in mind that an LLC generally must also register as a “foreign” LLC in the state where it actually does business, and pay that state’s fees and taxes. For a business that operates in one other state, forming at home is often simpler. Wyoming makes the most sense when you live there, operate there, or have a business that isn’t tied to any one state.
Step 1Choose your name
Wyoming accepts more LLC endings than most states: limited liability company, LLC, L.L.C., limited company, LC, L.C., Ltd. liability company, Ltd. liability co. or limited liability co. The name must be distinguishable from others on file, can’t suggest a different kind of entity (like “XYZCorp LLC”), and can’t copy a registered Wyoming trademark.
Two groups of words need approval from another agency: education terms such as academy, college, institute, school and university, and banking terms such as bank, bancorp and trust. Names with those words, or with special characters, must be filed on paper rather than online.
Search names on WyoBiz. To hold a name for 120 days, a reservation costs $60.
Step 2Choose a registered agent
Every Wyoming LLC needs a registered agent: a Wyoming resident aged 18 or older, or a business entity authorized to do business in Wyoming. The agent needs a physical Wyoming address. P.O. boxes, drop boxes, mail-forwarding services and mailbox stores don’t qualify.
The agent must sign a Consent to Appointment by Registered Agent. Paper filers send it with the Articles; online filers confirm they have it and keep it on file. Wyoming has been auditing commercial registered agents in 2026, so choose an established one with a real Wyoming office.
Step 3File the Articles of Organization
The fastest route is online through WyoBiz: pay the $100 fee by Visa or MasterCard (plus a 2.4% (minimum $1) card processing fee) and your LLC is active as soon as you complete the process. Paper filings by mail, paid by check or money order with no card fee, take up to 15 business days.
Wyoming offers paid expediting at $700 (next business day) or $1,400 (same day), but only for filings that can’t be done online. Since a standard online formation is already instant, most people never need it.
Step 4File the annual report on time
Each year, your LLC files an annual report and pays a license tax due on the first day of the month it was formed, starting the year after formation. For example, an LLC formed on February 16, 2025 owed its first report by February 1, 2026.
- How much: $60, or two-tenths of a mill ($0.0002) per dollar of assets located and used in Wyoming, whichever is greater. Any LLC with $300,000 or less in Wyoming assets pays $60.
- Early filing: allowed up to 120 days before the due date.
- If you miss it: the LLC becomes delinquent the next month and is administratively dissolved if the report isn’t filed within 60 days of the due date.
Step 5Complete your setup
- Operating agreement: not filed with the state, but it should spell out ownership and management.
- EIN: free from the IRS.
- Other registrations: sales tax questions go to the Wyoming Department of Revenue, and employers register with the Department of Workforce Services.

File it yourself or use a service?
Wyoming’s online system is quick, and the filing is short. If you live in Wyoming, filing yourself is straightforward. If you don’t, you’ll need a commercial registered agent regardless, and many people let that agent handle the formation too. Compare agents mainly on their yearly fee and whether they remind you before the anniversary-month deadline.
